1. Legal Agreement
These Terms & Conditions (“Agreement”) constitute a legally binding agreement between you (“Customer,” “User,” or “Buyer”) and Acha Manufacturing Inc. (“Acha,” “Company,” “we,” “us”).
By accessing this website, requesting a quote, placing a deposit, or purchasing a product, you acknowledge that you have read, understood, and agreed to be bound by this Agreement.
2. Company Structure & Compliance Authority
Acha Manufacturing Inc. is a Texas-registered company operating manufacturing facilities in Mexico.
All trailers are engineered and built to meet applicable federal transportation standards including:

Federal Motor Vehicle Safety Standards (FMVSS)
-
U.S. Department of Transportation (DOT) regulations
Compliance certifications apply to transportation standards. Local health, fire, or municipal regulations vary by jurisdiction and remain the responsibility of the Customer unless otherwise agreed in writing.
Acha Manufacturing reserves the right to decline any custom configuration that compromises safety, compliance, or structural integrity.
3. Custom Manufacturing & Specification Approval
3.1 Binding Specification Approval
All builds are custom unless explicitly stated otherwise. Production begins only after:

Written approval of floor plan and equipment layout

Signed sales agreement
-
Receipt of required deposit
Once approved, specifications become binding.
3.2 Change Orders
Any modification after approval:

Must be submitted in writing
-
May result in additional cost
-
May extend production timeline
-
Is subject to feasibility review
Acha Manufacturing is not obligated to accept change orders after fabrication begins.
4. Pricing, Deposits & Payment Security
4.1 Pricing Validity
Quotes are valid for 7 calendar days unless otherwise stated. Material and equipment costs are subject to market fluctuations.
4.2 Non-Refundable Deposits
Deposits are non-refundable once production has commenced. This reflects allocation of materials, labor scheduling, and fabrication resources.
4.3 Payment Terms

Remaining balance must be paid in full before release.

No trailer will be delivered or transferred without cleared funds.

Late payments may incur storage fees.
Customer agrees that failure to complete payment constitutes breach of contract.
5. Production Timeline & Delivery
Estimated production timelines are projections only and are not guarantees.
Acha Manufacturing shall not be liable for delays caused by:

Supply chain interruptions
-
Equipment manufacturer delays
-
Inspection scheduling
-
Regulatory approvals
-
Customs or border processing
-
Force majeure events
Risk transfers to Customer upon pickup, third-party carrier release, or confirmed delivery.
Customer must inspect the unit upon receipt. Claims for visible damage must be made immediately in writing.
6. Warranty & Limitations
6.1 Structural Warranty
A limited structural workmanship warranty of [Insert Period, e.g., 12 months] applies from delivery date.
6.2 Equipment Warranty
All installed equipment is covered solely by the original manufacturer’s warranty.
6.3 Exclusions
Warranty excludes:

Normal wear and tear

Commercial abuse or misuse

Improper maintenance

Unauthorized modifications
-
Fire, accident, or environmental damage

Generator misuse or overload
-
Fire suppression discharge due to operational error
6.4 Limitation of Remedy
Company’s sole obligation under warranty is repair or replacement at its discretion.
No cash refunds shall be issued for warranty claims.
7. Code Compliance & Permitting Responsibility
While trailers are built to meet federal transportation standards (FMVSS and DOT), Customer is solely responsible for:

Local health department approval

Fire marshal approval
-
City or county permitting
-
Business licensing
Acha Manufacturing does not guarantee permit approval unless expressly contracted for jurisdiction-specific compliance.
8. Limitation of Liability
To the maximum extent permitted by law:
Acha Manufacturing Inc. shall not be liable for:

Loss of revenue
-
Loss of business opportunity
-
Operational downtime
-
Indirect or consequential damages
-
Regulatory delays
Total liability shall not exceed the total purchase price paid by Customer.
9. Intellectual Property & Design Protection
All designs, layouts, structural engineering concepts, branding materials, website content, photography, renderings, and manufacturing processes are the exclusive property of Acha Manufacturing Inc.
Unauthorized reproduction, replication, or commercial use is strictly prohibited and may result in legal action.
10. Financing Disclaimer
If financing is facilitated:

Approval is determined solely by third-party lenders.

Acha Manufacturing does not guarantee approval.
-
Financing agreements are between Customer and lender.
11. Force Majeure
Company shall not be liable for delays or failures caused by events beyond reasonable control including but not limited to:

Natural disasters
-
Governmental action
-
Labor disputes
-
Supply shortages
-
Border closures
12. Governing Law & Venue
This Agreement shall be governed by the laws of the State of Texas.
Any dispute shall be exclusively resolved in Texas courts unless arbitration is mutually agreed upon.
Customer waives jurisdiction in any other state or country.
13. Website Use
Users agree not to:

Attempt unauthorized access
-
Submit fraudulent information
-
Reverse engineer proprietary materials
-
Copy intellectual property
Violations may result in legal action.
14. Modifications
Acha Manufacturing reserves the right to update these Terms at any time without prior notice. Continued use constitutes acceptance of updated Terms.
